OUR SERVICES & YOUR AGREEMENT

Terms & Conditions

These terms explain the basis on which Trodomains supplies website design, development, and related digital services.

Last updated: 19 October 2026

1. Company details and definitions

Trodomains is a trading name of TROL LTD, a private limited company registered in England and Wales.

Company number: 07092956
Registered office:
4 Bradley Way
Peterborough
PE1 5FA
United Kingdom

Email: info@trodomains.net
Telephone: +44 7919 591352
Website: trodomains.net

“We”, “us”, and “our” mean TROL LTD trading as Trodomains.

“Client”, “you”, and “your” mean the person or organisation purchasing our services.

“Proposal” means our written quotation, statement of work, or order confirmation describing the agreed services, deliverables, price, and schedule.

“Project” means the work described in an accepted Proposal.

“Services” include the website design, development, maintenance, hosting, domain, email, consultancy, SEO, marketing, and related services expressly agreed with you.

“Client Materials” include content, images, logos, files, data, credentials, and instructions supplied by or for you.

“Business Client” means a client acting for purposes relating to their trade, business, craft, or profession.

“Consumer” means an individual acting wholly or mainly outside their trade, business, craft, or profession.

2. Your agreement with us

Your agreement consists of these terms, the accepted Proposal, and any subsequent written changes agreed by both parties.

We will make these terms available before you enter the agreement. A contract is formed when you accept our Proposal and we confirm the order, or when both parties otherwise clearly agree to proceed.

Acceptance may be recorded by email, signature, or payment of an agreed advance following receipt of the Proposal and these terms. Merely browsing our website or making an enquiry does not create a service contract.

An expressly agreed project-specific term takes precedence over a conflicting general term, except where mandatory legal rights apply.

Anyone accepting a Proposal for an organisation confirms that they have authority to do so.

3. Scope, pricing, and additional work

We will provide the deliverables and services expressly included in the Proposal.

Additional pages, functionality, integrations, copywriting, design concepts, migrations, licences, maintenance, and ongoing SEO are included only where stated.

If you request a change, we will explain any effect on the price, schedule, or deliverables before carrying out chargeable additional work.

Unless another rate is agreed, our standard rate for additional development, amendments, or technical work is £75 per hour. The quotation will identify any applicable VAT and the total payable. Consumer prices will include applicable VAT.

We will obtain agreement to the additional charges before proceeding. We may require payment in advance for approved additional work.

Estimates are based on the information available when prepared. We will not increase a fixed agreed project price simply because our own estimate was inaccurate.

4. Client responsibilities and project delays

You agree to:

  • Provide accurate instructions and project information.
  • Supply agreed content, access, and approvals promptly.
  • Give clear and consolidated feedback.
  • Obtain the permissions needed to use Client Materials.
  • Identify relevant business, industry, accessibility, or regulatory requirements during the brief.
  • Pay agreed charges when due.
  • Use the services lawfully and securely.

We will tell you where missing information or approvals affect progress and agree a reasonable revised schedule.

If essential information or feedback remains outstanding for more than 30 days after our request, we may pause the affected work after written notice.

A restart date depends on availability. Any restart charge or changed scope must be explained and agreed before work resumes. Inactivity does not automatically make an unearned project balance payable.

5. Revisions, review, and approval

Unless the Proposal states otherwise, a Project includes up to three rounds of reasonable revisions within the agreed scope.

A revision round means one consolidated set of feedback on the work presented. A new design direction, additional functionality, or a substantial change to an approved brief may require a separate quote.

Correcting our failure to meet the agreed specification is not counted as a chargeable revision.

You should review content, links, forms, contact details, and relevant functionality before approving launch. We remain responsible for carrying out our own agreed checks with reasonable care and skill.

An instruction to launch confirms approval to publish the version presented. Approval does not waive rights concerning hidden defects or work that fails to meet our contractual obligations.

6. Payments and overdue invoices

The Proposal or order confirmation will state the total price, required advance payment, milestones, and payment dates. There is no standard deposit percentage unless specified.

Work normally begins after the agreed initial payment has cleared and required materials are available.

We may make the launch or handover of newly created, unpaid deliverables conditional on payment of the amounts properly due for them, where stated in the Proposal. This does not transfer ownership of your existing materials or accounts to us.

If you dispute an invoice, tell us promptly and explain the disputed items. We will investigate, and you should pay any undisputed amount when due.

For overdue Business Client invoices, we may claim statutory interest and compensation under applicable late commercial payment legislation where available. We will not recover the same charge twice.

Any suspension for non-payment will follow section 18.

7. Project cancellation and refunds

You can notify us of cancellation by emailing info@trodomains.net .

Outside any applicable statutory cancellation right, cancellation charges will reflect work properly performed and reasonable, unavoidable costs directly resulting from cancellation.

We will account for costs saved and take reasonable steps to reduce losses. We will not automatically retain an entire advance payment regardless of the work completed or loss incurred.

We will provide a breakdown of amounts due, apply advance payments against them, and refund any excess. We will not charge twice for the same work or cost.

If cancellation results from our breach, your remedies are determined by the agreement and applicable law. The consumer provisions below take precedence where relevant.

8. Additional rights for consumers

If you are a Consumer, you have statutory rights concerning services and digital content. Services must be provided with reasonable care and skill. Where we fail to meet applicable legal requirements, you may be entitled to repeat performance, a price reduction, or other remedies.

Distance and off-premises service contracts

Where the statutory cancellation right applies, you normally have 14 days after the day the service contract is made to cancel without giving a reason. A longer period may apply if required cancellation information has not been provided.

To cancel, send a clear statement by email or post using our contact details. You may use the model form below, but you do not have to.

We will begin services during the cancellation period only at your express request. If you then cancel, a proportionate charge for services supplied before cancellation applies only where the legal requirements for that charge have been met.

The right to cancel a service is lost after full performance only where performance began with your prior express consent and acknowledgement that you would lose the right once the service was fully performed.

Digital content supplied without a physical medium

Where relevant, loss of the cancellation right requires your prior express consent to supply during the cancellation period, acknowledgement of losing that right, and the required contract confirmation. Accepting these general terms alone does not provide that separate consent.

A custom website service is not automatically excluded from cancellation rights simply because the work is bespoke.

Statutory cancellation refunds

Where a statutory cancellation refund is due, we will make it without undue delay and within the applicable legal deadline, normally 14 days after being informed of cancellation, using the original payment method unless you agree otherwise.

Model cancellation form

Complete and send this only if you wish to cancel.

9. Development, compatibility, and support

We will perform our services with reasonable care and skill and in accordance with the agreed specification.

Websites are developed for the browsers, devices, and platforms identified in the Proposal, or commonly used modern browsers and responsive screen sizes where none are specified.

Permanent compatibility with every device, browser, or future software version is not promised. Future changes may require separately agreed maintenance.

Tell us promptly about defects. We will investigate and remedy failures attributable to our agreed work as required by the contract and applicable law.

Ongoing updates, content changes, monitoring, recovery work, and technical support are included only to the extent specified. This does not remove our responsibility for defective services.

Third-party software

Projects may use WordPress, Elementor, themes, plugins, APIs, fonts, and other third-party resources. Their licence and subscription conditions apply where disclosed and relevant.

We will identify material ongoing licence costs included in or required for the agreed solution. We remain responsible for our own selection, configuration, and integration work.

A third-party failure does not automatically release us from our contractual obligations. We will explain its impact and take reasonable steps within our agreed responsibilities.

10. Hosting, domain names, email, and backups

These services are included only where stated in your order. The relevant provider, package limits, service period, price, and applicable provider terms will be identified before purchase.

Any service-level commitment must be expressly stated. We do not promise uninterrupted availability unless a specific service level has been agreed.

Domain names

Domain registration depends on availability and registrar or registry rules. Registration cannot guarantee that use of a name does not infringe another party’s rights.

Registration details and renewal responsibilities must be agreed. Where you are the registrant, we will not claim ownership of your domain merely because we administer it.

You must provide accurate registrant information and pay renewal fees when due. Where we have agreed to manage renewals, we remain responsible for performing that agreed role with reasonable care.

Email and backups

Email delivery can be affected by recipient systems, spam filtering, outages, and other external factors.

Backup arrangements, retention, restoration, and exclusions will be stated in the relevant hosting or maintenance package. Do not assume a backup service is included where none is specified.

Keep independent copies of important materials. This does not remove any backup or recovery obligations we have expressly accepted.

11. Recurring services and renewals

Before you purchase a recurring service, we will state its price, billing frequency, initial term, renewal arrangements, cancellation method, and any applicable notice period.

Automatic renewal applies only where clearly disclosed and agreed. We will provide reminders and cancellation information where required by law.

You may request cancellation through the agreed account process or by emailing info@trodomains.net . We will confirm the effective end date and any properly payable charges.

Price changes apply only in accordance with an agreed, transparent mechanism or a subsequent agreement. Where we propose a price change for a future renewal, we will give reasonable advance notice so you can decide whether to continue.

Renewal refunds depend on the agreed service and applicable law. Consumer cancellation rights are not excluded by describing a subscription or renewal as non-refundable.

12. SEO, advertising, and compliance content

SEO and advertising performance depend on factors beyond our control. We do not guarantee particular rankings, traffic, sales, enquiries, conversion rates, indexing, or platform acceptance.

We remain responsible for delivering the SEO or marketing activities expressly agreed with reasonable care and skill.

Basic on-site optimisation is a one-off service unless ongoing work is included. Advertising spend is separate from management fees unless stated otherwise.

Platform policy changes, account reviews, and algorithm changes may affect results. We will explain material issues relevant to the agreed work.

Privacy policies, terms, cookie wording, and other compliance content supplied as business support are not a substitute for legal advice. You must supply accurate information and review documents against your actual practices.

Responsibility for ongoing compliance management and cookie configuration must be expressly agreed. We remain responsible for any compliance-related implementation we specifically undertake.

13. Intellectual property and portfolio use

Client Materials

You retain ownership of Client Materials and grant us permission to use them as necessary to deliver the agreed services.

You confirm that you have the necessary rights and permissions for the materials and instructions you provide.

Project deliverables

The Proposal will identify any agreed transfer of intellectual property rights.

Unless an assignment is expressly agreed, full payment gives you a perpetual, worldwide, non-exclusive licence to use, operate, and modify our project-specific deliverables for your business, including through replacement developers.

We retain ownership of pre-existing tools, reusable components, libraries, methods, and know-how. Third-party and open-source materials remain subject to their own licences.

Handover covers the files, access, and documentation stated in the Proposal. Internal tools and unrelated development materials are not automatically included.

Portfolio use

Unless you ask us not to, we may display non-confidential, publicly launched work and identify your business in our portfolio. We will not publish private project information or personal data without an appropriate lawful basis.

A website credit or promotional link will be included only where agreed.

14. Confidentiality, privacy, and security

Each party must protect the other’s confidential information and use it only for the agreement. This does not cover information lawfully public, independently developed, or lawfully obtained without confidentiality restrictions.

Disclosure may be made to authorised personnel and advisers who need the information, or where required by law.

Personal information used for our own business purposes is described in our Privacy Policy .

Where we process personal data on your behalf, the required written data processing terms must be agreed before that processing begins.

Both parties must handle access credentials appropriately and notify the other promptly of relevant suspected compromise.

No online system is completely secure. This does not remove our obligation to use appropriate security measures or meet our agreed responsibilities.

15. Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited.

Business Clients

For Business Clients only, we are not liable for indirect or consequential loss, or loss of profit, revenue, anticipated savings, business opportunity, or goodwill.

Subject to the exclusions that cannot lawfully apply, our aggregate liability arising from a one-off Project is limited to the total fees paid or payable for that Project.

For an ongoing service, the corresponding limit is the fees paid or payable for that service during the 12 months ending on the event giving rise to the claim, or the initial 12-month contracted fees if the event occurs within the first 12 months.

These business limitations apply only where legally enforceable, including any applicable requirement of reasonableness.

Consumers

The business exclusions and caps above do not apply to Consumers. We are responsible for foreseeable loss and damage caused by our breach or failure to use reasonable care and skill.

We do not exclude statutory remedies for defective services or digital content. Your legal rights are not reduced by project approval, payment, or acceptance of these terms.

16. Third-party claims involving Business Clients

A Business Client is responsible for reasonable, evidenced losses arising from a third-party claim to the extent directly caused by the Client’s infringement of rights in Client Materials or unlawful instructions.

We must notify the Client promptly, provide reasonable cooperation, and take reasonable steps to reduce losses. We will not agree a settlement imposing obligations on the Client without their reasonable consent.

This clause does not apply to Consumers and does not cover losses caused by our own negligence or breach.

17. Events outside reasonable control

If an event beyond a party’s reasonable control prevents performance, that party must notify the other promptly and take reasonable steps to reduce its effects.

An outage, cyberattack, or supplier failure is not automatically outside our control where reasonable precautions or our agreed obligations should have prevented its impact.

If affected services cannot resume within a reasonable period, either party may terminate the affected part of the agreement by written notice. We will account for services supplied and refund advance payments for services not supplied, subject to applicable law.

18. Suspension, termination, and handover

Either party may terminate for a material breach if it is not remedied within a reasonable period specified in written notice.

We may suspend affected services after reasonable notice for unpaid, undisputed amounts or a material breach. Where possible, we will provide an opportunity to resolve the issue first.

Immediate protective action may be necessary for unlawful activity, a serious security threat, or a legal requirement. Any action must be proportionate to the issue.

We may take appropriate steps to protect staff from threatening or abusive conduct, including changing communication arrangements or terminating where continued performance cannot reasonably be expected.

On termination, we will explain outstanding charges, arrange return of Client Materials, and provide agreed handover items. Additional migration assistance may be charged only where agreed in advance.

We will not claim ownership of an existing client domain, account, or material because of a payment dispute. Data return and deletion will follow applicable law and any data processing agreement.

If we end a service without your breach, we will give reasonable notice where practicable and refund amounts paid for services not supplied.

19. Complaints and disputes

Send service complaints to info@trodomains.net , including your project reference, the issue, and the outcome you are seeking.

We will acknowledge the complaint, investigate, and explain our proposed resolution within a reasonable period.

The parties should try to resolve disputes through direct discussion and may agree mediation. This does not prevent either party exercising legal rights or seeking urgent court relief.

Where required by applicable consumer dispute resolution rules, we will provide relevant alternative dispute resolution information and explain whether we will participate.

Data protection complaints are addressed separately in our Privacy Policy .

20. General provisions

Website use

Our website content is for general information. You must not misuse the website, attempt unauthorised access, or infringe intellectual property rights.

External links do not imply endorsement. We do not control independent external websites.

Changes to terms

The version accepted for your order applies to that agreement. Publishing updated terms does not automatically change an existing contract. Changes require agreement or another lawful basis.

Subcontracting and transfer

We may use suitable subcontractors while remaining responsible for our contractual obligations.

Neither party may transfer the agreement in a way that materially prejudices the other’s rights without consent. Mandatory consumer protections continue to apply.

Entire agreement

For Business Clients, the agreed documents record the agreement concerning the Project. This does not exclude fraud or any liability that cannot lawfully be excluded.

For Consumers, information and statements that form part of the contract under applicable law remain binding.

Severability and waiver

If a term is unenforceable, the remaining terms continue where legally possible. A delay in exercising a right does not by itself waive it.

Notices

Send contractual notices to info@trodomains.net or our registered office. We will use the contact details you provide. Consumer cancellation rights may also be exercised by any legally permitted clear statement.

Governing law and jurisdiction

The agreement is governed by the laws of England and Wales. For Business Clients, the courts of England and Wales have exclusive jurisdiction.

Consumers retain mandatory protections and rights to bring proceedings in the courts available to them under applicable law. Consumers resident in Scotland or Northern Ireland may bring proceedings in their home courts.
